izeezi.com limited agreement with the client (you)

 

Date:   The date of this agreement is the date you initially supply images or dates or data or funds to izeezi.com limited. By sending izeezi images, data, dates or other content this agreement shall take effect but does not bind us to publish your websites.

 

What we do:  We – izeezi.com limited, Seven Jordan, Chippenham, SN15 3FP, UK - provide the software – IZEEZI Powerserve – CMS - that allows prospective customers to pick various images together with images and data from that you provide to personalise a range of products. This software is generally free to you. Customers can personalise that product with text, if you want this personalisation option. Once paid for the unique product(s) are produced by third-party manufacturers and mailed to wherever the customer has told us too.

We create a website for you from the content management system – CMS - which reflects the images and data you provide and to reflect your brand too. We assign you a unique url which in the format; www.izeezi.com/(nameweassignyou), or, in self-create sites www.izeezi.com/(yourpreferredname) – we reserve the right to turn down a url due to legal, contentious, copyright or for blasphemous reasons. The reporting function in the CMS is fully accessible that’s completely transparent so you can see sales in real time and as we do. There may be further access for you change images and add in data.

We supply the range of products such as t-shirts, mugs, posters, calendars, lap trays, other apparel, postcards, mouse-mats, stickers, etc for you to market and use our network of fulfilment facilities globally to produce these products.

We comply with all laws of the country in which we are based – this agreement is covered exclusively by the jurisdiction of the courts of England and Wales. We also follow data protection matters and we will look after your assets as if they were our own. The T&C's and Privacy Docs on our sites form part of this agreement. Our philosophy is to work with you and make you as much money as we can. Should matters not be going to plan we look too get together and work with you for a solution. We want to work with you for a long time so at all times we want you to be happy with us. However, we reserve the right to cancel this agreement at any time should we feel that the need arise.

 

What you do:   You decide on the images, data and possibly categories that your prospective customers would want. These images and data are entered in to the CMS. Once all the initial information is captured on the CMS website(s) are created dynamically and you are ready and agree to market actively to your prospect or customer base to achieve sales.

You will need to comply with all things legal too. We make every effort to screen for profanities and other offensive material that sometimes, albeit very rarely, end up being used by customers when personalising products. You must have permission to use all information entered by you, or us on your behalf, in the CMS, be it images or data, and you, your agents, officers, directors, successors and assigns hold us harmless from any action or from any event whatsoever should that information become an issue or litigious.

 

Other Stuff & Important Bits:  We have to have a start and end date of this agreement and so start date is the date you initially supply images or dates or data to izeezi.com limited and end date is three years from this date they are. If either or both parties agree to end the agreement earlier then either party will respect the other at all times and this agreement will end. Further we have the right to terminate this agreement if we believe you are acting in a manner that we may deem detrimental to our business or to our other clients in any way whatsoever. We may update this agreement at any time and changes are binding. After three years this agreement will automatically renew for another three year reciprocally if neither party terminate.

You need to market the products to your prospective customers and so we suggest you try, agree to, the following. We suggest you give us a written marketing proposal before we / you start building your website. Some thoughts on marketing are as follows:

 

1. Links from your site(s) and/or shop page to www.izeezi.com/(nameweassignyou)
2. Use your current communications products to tell prospective buyers Promotional launch using web or e-mail for impact
3. Banners from your web site(s) – we may assist here
4. Using link from e-mail activity
5. Promotional launch using web or e-mail for impact
6. E-zine activity
7. PR and activity though social networking sites, blogs, twitter, groups, etc
8. Using izeezi.com Marketing Advice as offered from time-to-time

 

We collect data and information by definition of how we operate. We will encourage you to use this data as a way to sell your customers extra goods of yours. We won't sell this data.

We will pay you a fixed amount for each product as laid out in the CMS and we will pay you at least quarterly – default is monthly - but only once the merchant has cleared funds to our account. All your sales can be seen live in reporting within the CMS and we will give you a password to access. VAT or taxes always paid where applicable but deducted when not

For selected clients our service involves a payment to us of £99 GBP inc VAT at prevailing rate which we will refund in full once you have sold at least 100 of any product you market through the site. However should commissions earned, for any client whatsoever, not exceed £249 in any 12 month period we may, at our discretion, retain the commission to offset maintenance, hosting and servicing of your site(s). Payments to izeezi should be via PayPal at paypal@izeezi.com
